1. Agreement to These Terms

By downloading, installing, or using the Everyone app (“the App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the App.

These Terms constitute a legally binding agreement between you and Everyone Inc. (“Everyone”, “we”, “us”, or “our”). We may update these Terms from time to time. We will notify you of material changes via the App or by email. Your continued use of the App after changes take effect constitutes your acceptance.

2. Who Can Use Everyone

You must be at least 13 years old (or 16 in the EEA) to use Everyone. By using the App, you confirm that you meet this age requirement. If you are under 18, you confirm that a parent or guardian has reviewed and agreed to these Terms on your behalf.

You may only create one account per person. Accounts are personal and non-transferable.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Please use a strong, unique password and notify us immediately at hello@downloadeveryone.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where possible.

4. Your Content

What You Own

You retain full ownership of the stories, recordings, photos, and text you create or upload through Everyone (“Your Content”). We do not claim ownership of Your Content.

License You Grant to Us

By uploading or creating content in Everyone, you grant Everyone Inc. a limited, worldwide, royalty-free license to store, process, and deliver Your Content for the sole purpose of operating and providing the App to you and the people you choose to share with. This license ends when you delete the content or your account, subject to our data retention policy.

Public Content

If you choose to make any content public, you additionally grant Everyone Inc. the right to display that content to other users of the App and, where applicable, to feature it in the broader Everyone archive and in promotional materials for the App. You can change the visibility of your content at any time.

Your Responsibilities

You are solely responsible for Your Content. By posting content, you confirm that:

  • You have the right to share it and to grant us the license described above.
  • It does not infringe the intellectual property, privacy, or other rights of any third party.
  • It complies with these Terms and all applicable laws.

5. Prohibited Conduct

You agree not to use Everyone to:

  • Upload or share content that is illegal, harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Infringe the copyright, trademark, privacy, or other rights of others.
  • Share content that depicts or promotes violence, abuse, or exploitation of minors.
  • Impersonate any person or entity, or misrepresent your affiliation with anyone.
  • Use the App to spam, phish, or conduct any unauthorized commercial activity.
  • Attempt to gain unauthorized access to any part of the App or its infrastructure.
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the App.
  • Use automated tools (bots, scrapers, crawlers) to access or interact with the App without our prior written consent.

We reserve the right to remove content that violates these Terms and to suspend or terminate accounts of users who engage in prohibited conduct.

6. Intellectual Property

The Everyone app, including its design, features, code, branding, and all content created by us, is owned by Everyone Inc. and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property other than the limited right to use the App as described here.

7. Subscriptions and Payments

Some features of Everyone may require a paid subscription. Subscriptions are billed through the Apple App Store or Google Play Store in accordance with their respective terms. We do not process or store your payment information directly.

Subscriptions automatically renew unless you cancel before the renewal date. To cancel, manage your subscription through your device’s App Store or Google Play settings. Refunds are subject to the policies of Apple or Google, as applicable.

8. Termination

You may stop using the App and delete your account at any time from Settings → Account → Delete Account.

We may suspend or terminate your access to the App at any time if we believe you have violated these Terms, if required by law, or if we discontinue the App. Where possible, we will give you advance notice and the opportunity to export your content.

Upon termination, your right to use the App ends immediately. Content deletion following account termination is governed by our Privacy Policy.

9. Disclaimers

The App is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

We strongly encourage you to maintain your own backups of any recordings or stories that are important to you. While we take reasonable steps to protect your content, we cannot guarantee against data loss.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Everyone Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising out of or in connection with your use of the App, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid to Everyone Inc. in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Everyone Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the App, Your Content, or your violation of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

If you are a consumer in the EEA or UK, nothing in this section affects your rights under local consumer protection laws.

13. Changes to the App

We may update, modify, or discontinue features of the App at any time. We will make reasonable efforts to notify you of significant changes. We are not liable to you or any third party for any modification, suspension, or discontinuance of the App.

14. Third-Party Services

The App may contain links to or integrations with third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their own terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Everyone Inc. with respect to the App and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
